PriceMinder Terms of Use

Preamble

This user agreement (hereinafter the "Agreement") contains the conditions subject to which the authors of the services provided on the PriceMinder (Shopee Price Sentinel) website and browser extension (hereinafter the "Rightsholder") provide an interested party or parties (hereinafter the "User") with the ability to use these services (hereinafter the "Services").

1. General Provisions

1.1 By downloading or copying elements of the Services or beginning to use the Services, the User agrees to abide by the terms of this Agreement.

1.2 If the User does not agree to these conditions, they have no right to install, copy, or otherwise use the Services.

1.3 The Services are subject to legal protection as computer programs.

1.4 You must follow any policies made available to you within the Services. Don't misuse our Services. For example, don't interfere with our Services or try to access them using a method other than the interface and the instructions that we provide. You may use our Services only as permitted by law, including applicable export and re-export control laws and regulations. We may suspend or stop providing our Services to you if you do not comply with our terms or policies or if we are investigating suspected misconduct.

1.5 All rights to the Services belong to the Rightsholder (the particular authors of the corresponding parts), with the exception of rights transferred by the present licensing agreement or by other agreements concluded in accordance with current legislation.

2. Rights of the User

2.1 In accordance with this Agreement, the User receives a non-exclusive right to use the Services.

2.2 The use of the Services by each User is not limited.

2.3 Some of the Services are available to the User free of charge.

2.4 The Services are used by the User in the form in which they are provided by the Rightsholder, in accordance with the conditions subject to which they are provided.

2.5 This Agreement does not grant the User any right to modify the Services, alter the Services, transfer rights under this Agreement to any other person, or make any other use of the Services not expressly authorized by this Agreement.

2.6 The Services should be used by the User in accordance with the law.

3. Rights of the Rightsholder

3.1 The Rightsholder has the right to make changes to this Agreement unilaterally and at any time, without informing the User, such changes to be binding on all Users including Users who have previously consented to the terms of this Agreement.

3.2 The Rightsholder has the right to withhold or to withdraw use of the Services (of one Service, or several Services, or all Services) by particular Users or by all Users.

3.3 The Rightsholder ensures that the Services (including, but not limited to, website services and browser extension services) maintain the proper performance of their core functions. The Rightsholder reserves the right to selectively direct end users to affiliate program links on e-commerce platforms such as Shopee, Lazada, AliExpress, Amazon, and others, and shall receive resulting benefits accordingly.

3.4 The browser extension is allowed to redirect to affiliate program links. As a result, the Rightsholder may receive a certain percentage of proceeds from its affiliate partners.

3.5 The Rightsholder bears no responsibility for the contents of resources to which end users of the Services obtain access at partners' addresses. In navigating to these addresses, end users bear full responsibility for their actions themselves.

3.6 Since the Services are solely a means of working with information, the Rightsholder bears no responsibility for the legality of the User's use of the Services, or for the contents of websites or other information of the User's in connection with which the Services are used.

4. Information Privacy

4.1 The User consents to the processing of information they provide to the extent that is necessary for the provision of the Services.

4.2 Information provided by the User to the Rightsholder is regulated by the Privacy Policy.

5. Business Uses of Our Services

5.1 If you are using our Services on behalf of a business, that business accepts these terms. It will hold harmless and indemnify the Rightsholder and its affiliates, officers, agents, and employees from any claim, suit or action arising from or related to the use of the Services or violation of these terms, including any liability or expense arising from claims, losses, damages, suits, judgments, litigation costs and attorneys' fees.

6. Other Conditions

6.1 The Services are provided "as is", with no warranties of any kind.

6.2 The Rightsholder bears no responsibility for any damages (losses or forgone profits) arising from the use or the inability to use the Services.

6.3 In the event of any disputes, the Rightsholder and the User shall make every effort to resolve them by way of negotiations.

7. About These Terms

7.1 We may modify these terms from time to time. Updated terms will be published on this page with a revised date. Continued use of the Services constitutes acceptance of the modified terms.

7.2 If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
